Leandro Melnick Chairman

Mr. Melnick is the chairman of our board of directors. He joined Melnick Construções in 1996. Between 2010 and 2019, after Melnick Construções merged with Even, Mr. Melnick served our chief executive officer. He currently serves as chief executive officer and vice-chairman of the board of directors of Even. Mr. Melnick holds a bachelor’s degree in civil engineering from the Federal University of Rio Grande do Sul (Universidade Federal do Rio Grande do Sul – UFRGS) and a graduate degree in business administration from the Getúlio Vargas Foundation (Fundação Getúlio Vargas – FGV).

Milton Melnick Advisor

Mr. Melnick is a member of our board of directors. Between 1970 and 1990, he served as a founding partner at Melco Construções e Incorporações Ltda. He is currently our chief institutional officer. Mr. Melnick holds a bachelor’s degree in civil engineering from the Catholic University of Rio Grande do Sul (Pontifícia Universidade Católica do Rio Grande do Sul – PUCRS).

Rodrigo Geraldi Arruy Advisor

Mr. Arruy is a member of our board of directors. In December 2009, he joined Nova Milano Investimentos Ltda., an investment fund manager focused on family wealth management (single family office). Currently, he is an officer at Nova Milano and participates in the investment committee of its various managed funds and corporate investees. Mr. Arruy is also the chairman of the board of directors of Even and the chief investment officer at Casa de Pedra Securitizadora Ltda. Mr. Arruy holds a bachelor’s degree in civil engineering from the Álvares Penteado Foundation (Fundação Álvares Penteado – FAAP). He also holds an MBA from the Getúlio Vargas Foundation (Fundação Getúlio Vargas – FGV).

Eduardo Silva Logemann Independent Advisor

Mr. Logemann is an independent member of our board of directors. He has served as the president of the holding company SLC Participações S.A. since 1987. He is also the chairman of the board of directors of SLC Agrícola (a part of the SLC group), one of Brazil’s largest producers and exporters of cotton, soybeans and corn, one of the Brazil’s largest landowners and operators and one of the world’s first companies in the agribusiness sector to have its shares traded on the a stock exchange. From 1987 to 2002, Mr. Logemann was the president of the Schneider Logemann Group, at the time the largest manufacturer of agricultural machinery, Combines and Tractors with the SLC brand, later called SLC-John Deere do Brasil. In the agricultural sector, Mr. Logemann was founder and officer of Banco Agroinvest S.A., founder and president of the Union of Agricultural Machinery Industries of RS and founder and president of the Brazilian Association of Cotton Producers (Associação Brasileira dos Produtores de Algodão – Abrapa), where he currently serves as an officer and advisor. Mr. Logemann also served as vice-president of the National Association of Automotive Vehicle Manufacturers (Associação Nacional dos Fabricantes de Veículos Automotores – Anfavea), representing the agricultural machinery sector. From 1990 to 2008, he held several positions as officer, advisor and vice-president of the Federation of Industries of Rio Grande do Sul (Federação das Indústrias do Rio Grande do Sul – Fiergs). Mr. Logemann holds a bachelor’s degree in mechanical engineering from the Catholic University of Rio Grande do Sul (Pontifícia Universidade Católica do Rio Grande do Sul – PUCRS).

Helio Seibel Independent Advisor

Mr. Seibel is an independent member of our board of directors. He has broad experience at Holding HS Investimentos S.A. in different sectors, such as: construction materials, real estate, energy, cellulose, among others. In 1961, he was a founding partner of Leo Madeiras, Máquinas & Ferragens Ltda, the largest distributor of raw materials and equipment for the woodwork industry in Brazil. Mr. Seibel served as such company’s chief executive officer from 1972 to 2014. He is also a shareholding member of the controlling block of Duratex S.A. and has been a member of its board of directors since 2009. In 2010, he became a relevant shareholder of Gera Maranhão S.A. and has been a partner at Espaço Negócios Imobiliários Ltda. since 2002. From 2015 to 2019, Mr. Seibel served as a shareholder and member of the board of directors of Klabin S.A. From 2007 to 2008, he served as the president of the Retail Development Institute (Instituto de Desenvolvimento do Varejo) and has been a member of the Institute’s board of directors since December 2008. Mr. Seibel has also served as a member of the board of directors of the Pinacoteca de São Paulo museum since September 2017; as a member of the board of directors of the Museum of Art of São Paulo (Museu de Arte de São Paulo – MASP) since 2016; as vice-chairman of the board of directors of the Museum of Modern Art (Museu de Arte Moderna – MAM) since 2019; as a member of the board of directors of the Brazilian Sculpture Museum (Museu Brasileiro da Escultura – MUBE) since 2016; and as a member of the Young Presidents Organization since 1995.

Clovis Antônio Pereira Pinto Member

Mr. Pinto is a member of Even’s audit committee. He is an auditor and member of the audit committee of Even since 2015. In addition, Mr. Pinto is a member of the fiscal council of Aldeias Infantis SOS Brasil, a partner at CPP Consultoria em Governança Corporativa e Serviços Contábeis and an alternate member of the governance, integrity, risk management and internal controls committee. Mr. Pinto was an audit officer at PwC – PricewaterhouseCoopers from 1984 to 2015.

Vinicius Ottone Mastrorosa Member

Mr. Mastrorosa is our chief financial and investor relations officer. He has worked for five years in the financial market, mostly in the brokerage sector of Barclays Bank. Between 2012 and 2019, he served as economic studies manager, chief strategic planning officer and chief financial officer and investor relations officer at Even. In February 2020, he became a portfolio manager at Nova Milano Investimentos Ltda., an investment fund manager focused on family wealth management (single family office). Mr. Mastrorosa holds a bachelor’s degree in economics from the University of São Paulo (Universidade de São Paulo – USP) and a master’s degree in economics from the Getúlio Vargas Foundation (Fundação Getúlio Vargas – FGV).

Roberto Pierri Bersch Responsible for the Committee

Since 1987, Mr. Bersch has been responsible for the labor practice at the Porto Alegre office of TozziniFreire Advogados. He has recognized experience for his work in litigation and legal advice. He was a mediator of the 1st Special and Small Claims Court of Porto Alegre (1º Juizado Especial e de Pequenas Causas de Porto Alegre) from 1988 to 1990, in addition to having been the legal vice-president of Grêmio Futebol Porto Alegrense in 2000. He holds a bachelor’s degree in law from the Federal University of Rio Grande do Sul (Faculdade de Direito da Universidade Federal do Rio Grande do Sul – UFRGS).
