Board of Executive Officers
Melnick's Board of Directors is responsible for managing the company's business in general and for carrying out all necessary or convenient acts, with the exception of those for which approval by the shareholders at a General Meeting or by the Council of Administrations is required by law or by the Company's Bylaws.
The Board of Directors is made up of a minimum of five (5) and a maximum of eight (8) members, whether shareholders or not, resident in the country, elected and dismissed by the Council of Administrations. The term of office of the members of the Board of Directors shall be a unified two (2) years, and they may be re-elected.
CEO
Mr. Melnick is the chairman of our board of directors. He joined Melnick Construções in 1996. Between 2010 and 2019, after Melnick Construções merged with Even, Mr. Melnick served our chief executive officer. Mr. Melnick holds a bachelor's degree in civil engineering from the Federal University of Rio Grande do Sul (Universidade Federal do Rio Grande do Sul – UFRGS) and a graduate degree in business administration from the Getúlio Vargas Foundation (Fundação Getúlio Vargas – FGV).

Mr. Melnick is our chief executive officer. He joined Melnick Construções in 1994. Between 2011 and 2019, following Melnick Construções merged with Even, Mr. Melnick became an executive officer of our company. In 2020, he was elected as our chief executive officer. Mr. Melnick holds a bachelor's degree in civil engineering from the Federal University of Rio Grande do Sul (Universidade Federal do Rio Grande do Sul – UFRGS).

Mr. Joelson has a degree in Accounting Sciences from the University of Vale do Rio dos Sinos (UNISINOS), a postgraduate degree in Marginal Cost Engineering and Electricity Tariffing from Universidade Presbiteriana Mackenzie (MACKENZIE), an MBA in Financial Management, Controllership and Audit by Fundação Getúlio Vargas (FGV) and Financial Management and Capital Markets by the New York Institute of Finance (NYIF). Between 2021 and 2023 he served as Financial Director at Oleoplan S/A – Óleos Vegetais Planalto and between 2013 and 2021 he served as Financial Director at Banco Digimais S/A. He also served in positions of Controlling Manager, Accounting Manager and Financial Manager between 1992 and 2013 in companies such as Lojas Renner S/A, Rio Grande Energia S/A and Banco Original S/A.
Council of Administrations
Melnick's Council of Administrations is a collegiate body to which issues of high interest related to the Company's business and management are referred for analysis and deliberation.
It is a collegiate decision-making body made up of a minimum of five (5) and a maximum of nine (9) full members, with the possibility of electing one (1) or more alternate members, at least two of whom, or 20%, whichever is greater, must be Independent Councils, as defined in the Novo Mercado Regulations. The terms of office are unified, two (2) years, with re-election permitted.

Chairman
Mr. Melnick is a member of our board of directors. Between 1970 and 1990, he served as a founding partner at Melco Construções e Incorporações Ltda. He is currently our chief institutional officer. Mr. Melnick holds a bachelor's degree in civil engineering from the Catholic University of Rio Grande do Sul (Pontifícia Universidade Católica do Rio Grande do Sul – PUCRS).

Holds a bachelor's degree in economics from the Federal Fluminense University, an MBA from the University of Rochester - Simon Business School, and a postgraduate degree from Harvard Business School. He has over 27 years of experience in the financial market and is currently the CEO of Vila Rica Capital, an asset management firm focused on credit strategies and special situations. He has served as a senior banker in major banks in New York, Geneva, London, and São Paulo. For 22 years, he worked at Citigroup, where he was the Global Market Manager of Citi Wealth Management, based in New York, and was responsible for managing over $300 billion in assets for some of the most sophisticated institutional investors and family offices worldwide.
Independent Advisor
Graduated in accounting by Faculdade de Economia, Administração e Contabilidade (FEA) of University of São Paulo (USP) and MBA in tax management by FIPECAFI.
She worked for 7 years as an auditor at Deloitte Touche Tohmatsu, focused on real estate companies, after worked as controller and investor relations manager at Even S.A. from 2016 to 2020, and than worked at the Company until March 2022. She currently works at Cidade Center Norte as controller.

A Materials Engineer graduated from the Federal Technological University of Paraná, with a degree in Corporate Finance & Investment Banking from FIA Business School and a CGA certification from ANBIMA, is a partner and analyst in the Research department at Real Investor Asset Management, an asset management company focused on equity strategies. He has also worked in the Investor Relations department of one of the country's largest real estate developers, Cyrela Brazil Realty, where he was involved in preparing information for the market and administration, meeting the needs of investors and stakeholders in general.
